Chapter I General Provisions

Article 1 Name of the Institute: Shandong Dashun Cultural Institute.

Article 2 This research association is an academic and non-profit national social organization voluntarily formed by Shun culture researchers. Registered in accordance with the law, with independent legal personality.

Article 3 The purpose of this seminar is to promote patriotism and Chinese culture, promote the construction of socialist spiritual civilization, promote academic research and strengthen international cultural and academic exchanges. Abide by the Constitution, laws, regulations and national policies, and abide by social morality.

Article 4 The Institute accepts the professional guidance, supervision and management of Shandong Social Science Association and Shandong Civil Affairs Department, the competent business unit.

Article 5 The address of this seminar is quancheng road 17.

Chapter II Scope of Business

Article 6 The business scope of this research association:

(a) according to the purpose of the association, unite and organize scholars of Shun culture to carry out academic activities; Carry out theoretical research, excavate, sort out and carry forward Dashun culture;

(2) Organizing academic exchanges, in the form of conference exchanges;

(three) planning and organizing large-scale research projects to study major academic topics of general concern at present;

(4) Convening academic seminars;

(five) the organization of academic awards, focusing on the outstanding research results of young and middle-aged scholars, in order to help young and middle-aged scholars stand out;

(6) Communication planning, popularizing Shun culture and even Qilu culture, and promoting the development of Shandong cultural industry;

(seven) to improve the academic level of young scholars in the form of academic lectures, short-term workshops, training and consulting services;

(eight) the design and production of film and television scripts, picture books and layout, editing and publishing academic journals;

(nine) the establishment of Shun culture academic exchange center.

Chapter III Members

Article 7 The members of this research association are mainly individual members, and local Shun cultural and academic organizations can also be group members.

Article 8 A member applying to join this research association must meet the following conditions:

(a) Support the articles of association of this research association;

(2) Willing to join this seminar;

(3) It has a certain influence in the field of Shun culture and academic research;

(four) published academic papers or monographs on Shun culture and scholarship;

(five) recommended by members of the research association.

Article 9 Membership procedures:

(1) Submit an application for membership signed by the recommender to the Secretariat;

(2) Submitted by the Secretariat to the Council for discussion and adoption by the Council;

(3) The membership card shall be issued by the Council or an organization authorized by the Council.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of this research association;

(three) to obtain the priority of this seminar service;

(four) criticism, suggestions and supervision of the work of this research association;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(a) To implement the resolutions of this research society;

(two) to safeguard the legitimate rights and interests of this research association;

(three) to complete the work assigned by this research association;

(four) to pay membership fees in accordance with the provisions;

(five) to reflect the situation to this research society and provide relevant information.

Article 12 A member who withdraws from the club shall submit a written application to the club and return his membership card.

If a member fails to pay membership dues or participate in community activities for one year, it will be deemed as automatic withdrawal.

Article 13 If a member seriously violates the Articles of Association, he/she shall be removed from the membership after being voted by the Standing Council.

Chapter IV Appointment and Removal of Institutions and Responsible Persons

Article 14 The highest authority of this research society is the general meeting of members. The duties of the general meeting of members are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate this research association;

(5) Deciding on other major matters.

Article 15 A general meeting of members shall be held only when more than two thirds of the members are present, and its resolutions shall take effect only when more than half of the members are present.

Article 16 If the general meeting of members is held for five years and needs to be changed or postponed in advance due to special circumstances, it must be voted by the board of directors, reported to the competent business unit for examination and approval, and approved by the registration authority of the association. However, the term of office shall not be extended for more than one year.

Article 17 The Council is the executive body of the general assembly, leading the Institute to carry out its daily work during the intersessional period and being responsible for the general assembly.

Article 18 The functions and powers of the Council are:

(a) Implementing the resolutions of the General Assembly;

(two) to elect and recall the president, vice president and secretary general;

(3) Preparing for convening a general meeting of members;

(four) to report the work and financial situation to the general assembly;

(five) to decide to absorb or recall members;

(six) decided to set up offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the research institutions to carry out their work;

(nine) to formulate internal management system;

(10) To decide on other major matters.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.

Article 21 The Research Association shall establish a standing council. The Standing Council is elected by the Board of Directors. When the board of directors is not in session, it shall exercise the functions and powers specified in Item 1, 3, 5, 6, 7, 8 and 9 of Article 18 of the Articles of Association and be responsible to the board of directors.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Twenty-third meetings of the Standing Council shall be held at least once every six months, and may be held in the form of communication under special circumstances.

Article 24 The president, vice-president and secretary-general of this research association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(two) have a greater impact in the business field of this research association;

(3) The maximum age of the president, vice-president and secretary-general is generally no more than 70 years old;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 25 The president, vice-president and secretary-general of this research association shall be approved by the board of directors, reported to the competent business unit for examination, and approved by the registration authority of the association before taking up their posts.

Article 26 The term of office of the president, vice-president and secretary-general of this research association shall not exceed two terms at the longest. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the members' representatives attending the members' congress, reported to the competent business unit for review, and approved by the registration authority of the association before taking office.

Article 27 The legal representative of this research association shall be determined by the competent business unit and affiliated unit through consultation with the research association, and reported to the competent business unit for examination and approval, and approved by the registration administration organ of the association. The legal representative is above the Secretary General of this research association.

The legal representative will sign relevant important documents on behalf of this research association.

The legal representative of this research association does not concurrently serve as the legal representative of other societies.

Article 28 The president of this research association shall exercise the following functions and powers:

(a) to convene and preside over the Council (or the Standing Council);

(two) to check the resolutions of the members' congress and the Council (or the Standing Council)

(3) Nominating candidates for vice-president and secretary-general and submitting them to the Council or the Standing Council for decision.

Article 29 The Secretary-General of this Research Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(three) to decide on the employment of full-time staff of organs and units;

(4) Handle other daily affairs.

Chapter V Asset Management and Use

Thirtieth sources of funding for this research association:

(1) membership fees;

(2) donation;

(3) Funding from government departments, enterprises and institutions;

(four) affiliated units funded;

(five) the recipients of activities or services within the approved business scope;

(6) interest;

(7) Other lawful income.

Thirty-first this research association collects membership fees in accordance with the relevant provisions of the state.

Article 32 The funds of this research association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 33 A research institute shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 34 The firm is equipped with accountants with professional qualifications. An accountant can't double as a cashier. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this institute must implement the financial management system stipulated by the state and accept the supervision of the member congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 36 Before changing its legal representative, this research association must accept the financial audit organized by the registration authority of the association and the competent business unit.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this research association.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this research association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Revision of Articles of Association

Thirty-ninth amendments to the articles of association of the research association shall be approved by the Council and submitted to the general meeting of members for consideration.

Article 40 The revised articles of association of this research association shall come into effect within 15 days after being adopted by the general meeting of members, agreed by the competent business unit and approved by the registration authority of the association.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If the Research Association has completed its purpose or dissolved itself or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 42 The proposal to terminate this research association must be voted by the general meeting of members and submitted to the competent business unit for examination and approval.

Forty-third before the termination of this research association, a liquidation organization must be established under the guidance of the competent business unit and the relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 44 This research association shall be terminated after the cancellation of registration by the association registration authority.

Forty-fifth after the termination of this research association, the remaining property shall be used to develop undertakings related to the purpose of this research association in accordance with the relevant provisions of the state under the supervision of the competent business units and the registration and management organs of associations.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the general meeting of members on March 25th, 2007.

Article 47 The right to interpret the Articles of Association belongs to the Council of this Research Association.

Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
